Terms of service
Effective September 23, 2026
1. Agreement
These terms govern your use of cardinalhall.co, cardinalverified.com, our dealer assessment, and the products Cardinal Verified, Cardinal Relay and Cardinal Owe (together, the "Services"), provided by Cardinal Hall, a business operated by Cameron Helt in North Carolina ("Cardinal Hall," "we," "us"). By using the Services you agree to these terms. If you use them on behalf of a dealership or other business, you agree for that business and confirm you have authority to do so.
If we have signed a separate order form or pilot agreement with you, that document controls wherever it conflicts with these terms.
2. The Services
Our products help dealerships organize and act on information they already have. They provide rankings, clocks, checklists and reminders. They do not make decisions for you, contact your customers, or give legal, financial or credit advice. Scores and tiers are guidance. Your staff decide who to contact and what to say.
3. Pilots
We may offer a free pilot for a limited time. Pilots are provided as is, may change during the pilot, and either of us can end one at any time by giving notice by email. Section 5 on your data continues to apply after a pilot ends.
4. Accounts and access
You are responsible for the people you give access to, for keeping PINs and passwords confidential, and for activity under your accounts. Tell us promptly if you believe an account has been misused. We may suspend access that we reasonably believe is being misused or puts other users at risk.
5. Your data
You own the data you put into the Services. You give us permission to host, process and back it up only as needed to provide the Services to you and to produce reports you request. We handle it as described in our privacy policy.
You are responsible for having the right to use the data you provide and for your own obligations under the laws that apply to your business, including the FTC Safeguards Rule, and the rules that govern calling, texting and emailing your customers. Because Cardinal Verified runs in your browser, you are also responsible for securing the computers that run it and the files on them.
6. Acceptable use
You agree not to:
- use the Services to break the law or to contact people who have asked not to be contacted;
- enter information the Services are not designed to hold, such as Social Security numbers, full account numbers, or credit reports, into Relay or Owe;
- try to access accounts, data or systems that are not yours, or interfere with the Services' operation;
- copy, resell or reverse engineer the Services, except where the law expressly allows it.
7. Fees
Paid plans are billed as stated in your order form. Unless it says otherwise, plans are month to month and you may cancel before the next billing period. Fees are exclusive of taxes, which you are responsible for.
8. Our property and your feedback
We own the Services, including their software, designs, scoring rules and content. These terms do not transfer any of that to you. If you send us suggestions, we may use them without obligation to you.
9. Availability and changes
We work to keep the Services available and to fix problems quickly, but we do not guarantee uninterrupted service. We may update the Services over time. If we remove a feature you pay for, we will tell you in advance.
10. Disclaimers
Except as stated in a signed agreement, the Services are provided as is and as available. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise any particular sales result.
11. Limitation of liability
To the extent the law allows, neither of us will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability arising out of the Services will not exceed the amount you paid us for them in the twelve months before the claim, or one hundred dollars if you have paid nothing.
12. Ending service
You can stop using the Services at any time. We may end or suspend them if you materially breach these terms and do not fix the breach within ten days of notice, or immediately if needed to prevent harm. When service ends you can export your data, and we delete it as described in our privacy policy.
13. Governing law
These terms are governed by the laws of North Carolina, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in North Carolina, and both of us consent to their jurisdiction.
14. Changes to these terms
We may update these terms. If we do, we will change the effective date above, and for material changes we will notify customers before they take effect. Continuing to use the Services after that means you accept the updated terms.
